1. Acceptance of Terms

By accessing or using OrgBaseHQ ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all users, including organization administrators, members, and visitors.

2. About OrgBaseHQ

OrgBaseHQ is a social enterprise project developed and operated by JCI Mandaue, a local chapter of Junior Chamber International (JCI), a worldwide federation of young leaders and entrepreneurs. Proceeds from subscriptions help fund JCI Mandaue's community development programs and projects.

3. Description of Service

OrgBaseHQ is a software-as-a-service (SaaS) platform designed to help small organizations manage their members, dues, finances, activities, and governance. The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating an account. You agree to notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Collect or harvest user data without consent
• Use the Service to send spam or unsolicited communications

6. Payment Terms

Payment processing for subscriptions is handled by Polar.sh ("Polar"). By subscribing to a paid plan, you agree to Polar's terms of service. All subscription fees are billed in advance on a monthly basis.

You may upgrade, downgrade, or cancel your subscription at any time through the Billing Portal in your account settings. Downgrades and cancellations take effect at the end of your current billing period. Upgrades take effect immediately with prorated charges.

Refunds are handled according to Polar's refund policy. We reserve the right to change our pricing with reasonable notice to users.

7. Organization Responsibilities

OrgBaseHQ provides organizations with tools to manage their members, including registration links and QR codes that allow prospective members to self-register. As the organization administrator, you are responsible for:

• Obtaining appropriate consent from members for data collection and processing
• Managing and securing registration links you create and distribute
• Ensuring compliance with applicable data protection laws in your jurisdiction
• Defining and communicating your organization's own privacy practices to your members
• Properly handling, updating, and deleting member data as needed

OrgBaseHQ is a technology platform and service provider. We do not control how organizations use the data they collect through our Service, and organizations are solely responsible for their own data management and privacy practices with their members.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of any data you upload to the Service. We will not sell your data to third parties. You are responsible for ensuring you have the right to upload and process any personal data through the Service.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by JCI Mandaue, Inc. and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, JCI Mandaue, Inc. and OrgBaseHQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may export your data before termination.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes by posting the new terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new terms.
